General Terms and Conditions of Business

These Terms and Conditions apply to all business transactions with our customers. Other Terms and Conditions will not be accepted. Agreements that differ from our Terms and Conditions must be confirmed in written form.

Basis for Calculations:
We ascertain the price on the basis of the number of words in the source language. In cases where the source language does not use Latin or Cyrillic letters, we calculate the number of words on the basis of the target language.

Non-Solicitation Clause:
The customer is only allowed to enter into direct contact with the translator after consent has been given in written form by Exxacto. For every case of non-compliance and solicitation, we reserve the right to claim for damages.

Delivery Deadline:
In general, we observe the agreed delivery deadlines.  If the non-compliance of delivery deadlines is due to force majeure, we are authorised to withdraw from the contract or to request a reasonable additional deadline. Any further rights, particularly damage claims, are excluded.

Execution of Order:
All orders are carried out to the best of our ability. Unless we receive other instructions or information, we translate technical terms in the generally-accepted version. Unless the client gives us other instructions, we will deliver the translation in the same layout as the source text.

Payment:
Translations should be paid directly after receipt of the invoice. (If not stated otherwise in the invoice, the time for payment is 14 days beginning from when the customer receives the invoice.)

Complaints:
Should a translation contain linguistic errors or mistakes in terms of content, these errors must be immediately reported to us. The client is entitled to ask for a correction. Other rights are excluded. Should the client, for whatever reason, forego the correction, he/she is not entitled to reduce or refuse payment. If the client does not give Exxacto the opportunity to rectify the translation within an appropriate deadline, claims for damages are excluded. Corrections by third parties release us from this guarantee.

Terms of Prescription:
Reclamations can only be submitted within 14 days of delivery.

Guarantee:
We are responsible for damages that verifiably result from translation mistakes up to the invoiced amount within the terms of prescription mentioned above.

Rescission of contract:
If the client withdraws from the placed order without being entitled to do so (in terms of law or contract), the costs that have been incurred until rescission must be paid (number of words already translated up to that point).

Place of execution and jurisdiction is Böblingen.
